Equilibria - The Modern Growth Capital Platform

1. Acceptance of Terms

By accessing or using the Equilibria website, platform or any associated services (collectively, the “Platform”), you agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree, you must not use the Platform.

If you do not agree to these Terms, you may not access or use the Platform.

2. Who Can Use Equilibria

These Terms apply to all users of the Platform, including companies raising growth capital, investors and other participants.

To use the Platform, you must:

• Be at least 18 years old and have full legal capacity
• Comply with all applicable laws in your jurisdiction
• Successfully complete our KYC/AML verification process

3. Platform Purpose

Equilibria is a modern growth capital platform that connects ambitious companies with a broad pool of verified investors through compliant investment opportunities. The Platform facilitates capital raises, investments and related services in private-market and growth-stage companies.

Equilibria does not provide investment, legal, tax or financial advice. All investment decisions are made solely by the user.

4. User Accounts and Security

You must register for an account to participate. You agree to:

• Provide accurate, complete and current information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access or suspicious activity

We reserve the right to suspend or terminate any account that violates these Terms or regulatory requirements.

5. Compliance and Verification

All users must complete Know Your Customer (KYC) and Anti-Money Laundering (AML) verification before participating in any offering. We work with regulated third-party providers to ensure identity verification, source of funds validation, and jurisdictional eligibility.

Equilibria operates in compliance with applicable regulations in the United States, GCC countries and the European Union.

6. Offerings and Investments

All investment opportunities on Equilibria are offered through licensed intermediaries and in accordance with applicable securities laws and exemptions (including Regulation CF, Regulation D, and Regulation A+ where applicable).

Investing in private companies and growth-stage opportunities involves significant risk, including the potential loss of principal and limited liquidity. You are solely responsible for reviewing all offering documents and consulting your own advisors.

7. Prohibited Uses

You agree not to use the Platform for any unlawful purpose, including fraud, money laundering, or activities that violate securities regulations. Violations may result in immediate account termination and reporting to relevant authorities.

8. Intellectual Property

All content, trademarks, logos, designs, and software on the Platform are owned by Equilibria or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose only. No copying, modification or distribution is permitted without prior written consent.

9. Disclaimers

The Platform is provided “as is” and “as available” without any warranties. We do not guarantee the performance, liquidity, or future value of any investment opportunity.

Nothing on the Platform constitutes an offer or solicitation of securities in any jurisdiction where such activity would be unlawful.

10. Limitation of Liability

To the fullest extent permitted by law, Equilibria and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability shall not exceed the total fees paid by you to Equilibria in the twelve (12) months preceding the claim.

11. Data Protection

All personal data is handled in accordance with our Privacy Policy. By using the Platform, you consent to the collection, processing, and cross-border transfer of your data as described in the Privacy Policy.

12. Governing Law and Jurisdiction

These Terms are governed by:

• The laws of the State of Wyoming (U.S.) for U.S.-based users
• The laws of the European Union for EU residents
• The applicable GCC framework for GCC users

Disputes shall be resolved in the competent courts of the respective jurisdiction or through binding arbitration where required.

13. International Users (MENA & Asia)

Equilibria welcomes users and investors from the Middle East & North Africa (MENA) and Asia regions. Offerings to users in these regions are structured to comply with applicable local laws and regulations.

Users in MENA and Asia must satisfy the eligibility and verification requirements of their respective jurisdictions. Equilibria does not offer services in any jurisdiction where such activity would be prohibited by law.

14. Amendments

We may update these Terms at any time. Continued use of the Platform after changes constitutes your acceptance of the revised Terms.
